Scope
A commercial licence is not a financial services authorisation.
A licence issued by a commercial free zone authorises the activities named on it and no others. It is separate from, and does not substitute for, authorisation by a financial services regulator.
What we are licensed to do
- Management and commercial consultancy
- Commercial advice on direct investments in operating businesses and real assets
- Coordination of transaction workstreams and third-party advisers
- Governance, monitoring and reporting services following an investment
What this licence does not authorise
- Managing client money, or holding client assets in any form
- Advising on, promoting or placing funds, listed securities or structured products
- Any activity requiring authorisation by the UAE Capital Market Authority, the DFSA or the ADGM FSRA
- Legal, tax or regulatory advice, which comes from the client's appointed advisers
We are not licensed by the UAE Capital Market Authority (formerly the Securities and Commodities Authority), the Dubai Financial Services Authority or the ADGM Financial Services Regulatory Authority, and we do not hold ourselves out as being so.
Advisers
The client appoints. We coordinate.
The client appoints its own legal, tax and regulatory advisers, and contracts with them directly. We coordinate their work, hold it to a single timetable and integrate their advice into the commercial workstream. We do not provide legal, tax or regulatory advice ourselves, and we do not guarantee any regulatory outcome.
Third-party fees are passed through at cost. We accept no referral fee, commission or rebate from any adviser, vendor or counterparty.

Onboarding
Identity, beneficial ownership and source-of-funds checks are completed before any engagement letter is signed.
Sanctions
Counterparties and target assets are screened against applicable sanctions regimes at the start of every mandate, and again before completion.
Data
Personal data is handled under UAE Federal Decree-Law No. 45 of 2021. See our Privacy Policy.
Records of these checks are retained for the period required by applicable UAE anti-money-laundering legislation, and are not used for any other purpose.
